Bylaws of the International Committee of Architectural Critics

Bye-Laws, as proposed 12 May 2025

1. The International Committee of Architectural Critics (CICA) is a non-profit association within the meaning of the Law of 1901 of the French Republic.

2. CICA is established in perpetuity.

3. CICA’s headquarters shall be located in Paris and the secretariat shall be in located at the President’s and the Secretary General’s offices.

4. The working languages of CICA shall be English.

5. Membership of CICA shall be open to any person who is substantially and regularly engaged in architectural criticism.

6. New Members are elected by simple majority at CICA’s General Meetings following the nomination by at least two existing Members.

7. Members of CICA shall hold a General Meeting both in person as well as online at least once every three years to set out CICA’s broad lines of action, elect the President and the Directors; examine any expenditures made in the name of CICA; and approve the prospective budget submitted by the Board of Directors.

8. The Board of Directors shall be composed of not more than 10 persons elected from among the Members for a period of three years, re-election is possible. It should include Members from different parts of the world and should, as far as possible, reflect the composition of CICA’s Membership. It should meet at least twice a year in person or online. To the Board of Directors belong the Chair of the Board, the President, the Secretary General, the Directors, and the Associate Directors. Resolutions shall be carried by simple majority.

9. The Board of Directors shall appoint the President from among its members, and shall appoint the Associate Directors of Awards, Media and Communications.

10. The funds of CICA shall be derived from grants and gifts accepted by the President and/or the Board of Directors, from the proceeds of its activities and from voluntary subscriptions paid by its members. The budget shall be prepared by the President, and shall be submitted by the Board of Directors and approved by the General Meeting.

11. Activities in the name of CICA may be carried out by CICA Members with the prior written approval of the CICA Board of Directors.

12. Any amendment of the Bylaws, or the dissolution of the Association may only be decided upon by a majority of four-fifths of the voting members at a General Meeting specially convened for this purpose.
